Acceptance of Terms

 

NextKod offers a variety of services including, but not limited to, web development, software development, website maintenance, and digital consulting. The scope of each project will be detailed in a separate agreement or project proposal, which will be considered part of these terms.

 

 

 

Client Responsibilities

 

The Client agrees to:

  • Provide all necessary materials, information, and access required for NextKod to complete the project.
  • Respond promptly to requests for feedback and approvals.
  • Make payments as outlined in the agreement.
  • Ensure that they have the rights to use any materials provided to NextKod.

 

 

Fees and Payment Terms

 

  • Pricing: Services will be billed as detailed in the project proposal or agreement.
  • Payment Schedule: Payments are due according to the schedule outlined in the project proposal or agreement, typically including an upfront deposit, milestone payments, and a final payment upon project completion.
  • Refunds: Fees for services rendered are non-refundable.

 

 

Intellectual Property

 

  • Ownership: The Client will own the final work product upon full payment of all fees. NextKod retains ownership of any pre-existing intellectual property incorporated into the final product.
  • Usage Rights: The Client is granted a non-exclusive, perpetual license to use the work product for its intended purpose. NextKod reserves the right to use the work for portfolio and marketing purposes.

 

 

Confidentiality

 

Both parties agree to keep confidential any proprietary information received from the other party. This includes, but is not limited to, business plans, client lists, financial information, and trade secrets.

 

 

Limitation of Liability

 

NextKod will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from the use of our services. Our total liability shall not exceed the amount paid by the Client for the services in question.

 

 

Termination

 

Either party may terminate the agreement upon written notice if the other party breaches any material term of the agreement and fails to cure such breach within 30 days. Upon termination, the Client will pay for all services rendered up to the termination date.
